(WIFT AU) Terms and Conditions

Please read these terms and conditions carefully as they contain important information about your legal rights, remedies, and obligations.

These terms and conditions and any policies of Women in Film and Television Australia Ltd (ABN 49 626 286 780) (Women in Film and Television Australia) referred to within these Terms (together, defined the Terms) apply to your membership and participation in any WIFT AU events, programs or opportunities that we may offer from time to time.

When these Terms mention “WIFT AU,” “we”, “us”, or “our”, it refers to Women in Film and Television Australia.

The basis on which we collect and use your personal information disclosed to us under these Terms is described in our Privacy Policy.

1. Overview

1.1. WIFT AU is a membership based organisation. We offer members access to professional industry mentorship by connecting members with industry professionals, provide learning modules and resources and online and in person events.

1.2. By applying to become a member of WIFT AU and your use of the Online Platform, you agree to be bound by these Terms.

1.3. We may change these Terms at any time by posting these changes on our Online Platform or notifying you by email. By continuing to use WIFT AU, you will be deemed to have agreed to the change.

2. Eligibility and Registration

2.1. You must apply to become a Member by completing an application form on the WIFT Australia website. We reserve the right to accept or reject any membership application at our sole discretion.

2.2. To apply to be a Member and participate in WIFT AU, you must:

(a) be at least 18 years old;

(b) be a screen industry practitioner employed full time, part time, or casually, or are self-employed;

(c) pay the appropriate Membership Fee;

(d) accept to be bound by these Terms (which you are taken to accept upon submitting a membership application to us);

(e) provide the appropriate evidence documentation depending on your membership option; and

(f) comply with any reasonable requirements we may have from time to time. (together, the Eligibility Criteria).

2.3 Further to subsection 2.2, the following terms apply to specific membership types:

(a) Professional Memberships: you must be working full time in the screen industry and identify as a female or gender diverse individual.

(b) Concession Memberships: you must hold a valid, Government-issued concession or Health Care Card. Refer to the product page for details on which cards qualify and identify as a female or gender diverse individual.

(c) Student Memberships: you must be enrolled at a tertiary institute or training instituion and provide a valid Student ID and identify as a female or gender diverse individual. Please note this membership type does not receive voting rights.

(d) Supporter Memberships: available to a screen industry professional of any gender who wishes to support WIFT Australia. Please note this membership type does not receive voting rights.

2.4. We will review your application to assess your eligibility and suitability to become a Member (which shall not be unreasonably withheld) and if successful will notify you by email.

2.5. You warrant that all information and details provided by you to us (or any relevant third party) in connection with completing your application form are true and accurate and up to date in all respects.

2.6. Your Member access to the Online Platform may not be shared - it is for your personal use only. You must keep your Member details secure, and you are solely responsible for all activities carried out on or through the Online Platform.

3. Provision of Services

3.1. Subject to these Terms, we will use their reasonable efforts to provide you with access to screen industry mentorship opportunities and provide the learning resources and modules and online and in person events relevant to your membership

3.2. You acknowledge and agree that we are not your employer and are only a service provider that facilitates potential opportunities and events.

3.3. We give you no guarantee that you will receive a workplace placement.

3.4. In addition, we make no representation or warranty as to the suitability, ongoing availability or duration of any workplace or other opportunity obtained as a Member. We do not endorse or recommend any of the workplace opportunities made available to you and strongly recommend that you assess the suitability of any positions prior to agreeing to any placement.

3.5. Any Training Programs or events offered through our Online Platform are charged at an additional cost. Any outstanding payments unpaid for more than a three (3) month period will result in your removal from WIFT AU.

4. Fees

4.1. Payment of fees

(a) You must pay, or arrange payment of, all applicable Fees by the due date indicated on any invoice provided to you by us.

(b) The Membership Fee is non-refundable.

(c) Should Women in Film and Television Australia not receive the necessary fees by the due date, we may remove you from any events, training modules and as a Member.

(d) For the avoidance of doubt, and subject to clause 9, you agree that you will be liable for all applicable Fees you incur as a Member.

5. Member behaviour

5.1. You agree that, as a Member of WIFT AU, you must:

(a) treat all staff, fellow members and external partners with respect and dignity;

(b) comply with reasonable instructions given to you by Women in Film and Television Australia;

(c) be responsible for your conduct and any data, text, information, screen names, photos and profiles that you submit, post, and display on the Online Platform;

(d) keep your password for the Online Platform Portal secure;

(e) not engage in any illegal or unauthorised conduct;

(f) comply with Women in Film and Television Australia's policies as notified to you from time to time, including the consent and Membership Guidelines agreed to when completing your application form; and

(g) treat all other Members and Women in Film and Television Australia representatives with respect and care. This includes:

(i) being mindful of the boundaries of others;

(ii) stopping behaviour when asked;

(iii) respecting and accepting the decisions of others; and

(iv) not touching others inappropriately.

(h) We may suspend or remove a Member from WIFT AU or any events or opportunities, if you engage in Serious Misconduct.

(i) Notwithstanding any other clause in these Terms, no refund will be provided in any circumstances if you have breached these Terms or have participated in Serious Misconduct.

6. Intellectual Property

6.1. Intellectual property in existing materials

(a) You agree that any intellectual property rights subsisting in materials or other materials provided to you in connection with your Membership or a Training Program or event (Materials) remain owned by Women in Film and Television Australia or its licensors. Women in Film and Television Australia does not assign or transfer any intellectual property rights in the Materials to you. Those Materials are protected by, and your use of WIFT AU is subject to, all relevant intellectual property laws.

(b) You must not modify, sell, assign, sublicense, copy, share, disclose, distribute, reproduce, lease, or grant or transfer any interest in the Materials to another person without the prior written consent of Women in Film and Television Australia. Women in Film and Television Australia reserve the right to take all steps necessary to prevent the unauthorised copying, distribution, reproduction, transmission, communication or exploitation of the Materials.

7. Refunds, Transfers and Exchanges

7.1. Refunds

(a) Subject to the Australian Consumer Law, any request for a refund of previously paid Fees will be reviewed on a case-by-case basis by us (acting reasonably).

(b) All refund requests will be responded to in writing within a reasonable time, and approved refunds will be paid within 28 days of written notification to you.

7.2. Cancellation or change by Women in Film and Television Australia

(a) Women in Film and Television Australia may remove any person as a Member at any time for any reason using their reasonable discretion.

(b) In the event of the cancellation of a Service in which you are enrolled, we will provide you with either a credit in the amount of fees paid that can be applied towards another Service (a Transfer Credit), or a full refund at your election.

(c) We may change any Service using our reasonable discretion including changes to the dates, venues, speakers, events or programs. We will use reasonable efforts to notify you of any change prior to the scheduled time. If a change to a service in which you are enrolled:

(i) prevents you from attending the Service; or

(ii) means that the Service no longer meets your needs, we will provide you with a Transfer Credit or a refund, at your election, in an amount that represents that portion of the service not yet undertaken upon your prior return request.

7.3. Changes or cancellation by you

(d) (Cancellation) If you wish to cancel following your registration for a Service and wish to receive a refund, you must notify us in writing at least 14 days prior to the course commencing. Otherwise, you will be liable to pay for the full associated Fees.

(e) (Withdrawals) If you wish to withdraw from a Service, you will be required to pay the appropriate withdrawal fee (as reasonably determined by us). Women in Film and Television Australia, at its sole discretion, may agree to a refund at any time where there are compelling, compassionate or exceptional circumstances and Women in Film and Television Australia reserves the right to require evidence substantiating such circumstances to Women in Film and Television Australia's reasonable satisfaction.

(f) (Substitution) You may request that another person attends a service that you have registered for in lieu of your attendance. You must notify us of the substitution at least one (1) Business Day prior to the commencement of the relevant Service, and the new participant must provide all registration details as requested by us for that Program by that same date and be a member.

(g) (No-shows) If you have not cancelled or substituted your registration for a Service in accordance with the time frames set out above, Women in Film and Television Australia will not be required to provide a refund and any fees that you have paid, or owe, in respect of that Service will be forfeited.

7.4. Transfer Credits

Transfer Credits expire on, and may not be used after, the earlier of:

(a) 12 months from the commencement date of the Service in respect of which the Transfer Credit was issued; or

(b) use of the Transfer Credit to register for a Service that is not cancelled or postponed, unless otherwise extended in writing by Women in Film and Television Australia in its sole discretion.

8. Privacy

We undertake to comply with our Privacy Policy in our collection, use, storage and disclosure of any personal information collected while providing the WIFT AU services. Whilst we take all reasonable efforts to ensure it is the case, we do not guarantee that any work placement opportunity will keep confidential any Member information or data provided to them.

9. Your Rights

(a) Under Australia's consumer protection laws you have the benefit of certain protections. Your agreement to these Terms does not remove your right to take action under those laws, or your right to pursue other legal remedies under Australian law.

(b) You will be advised of any changes to these Terms that may result from government legislation, as applicable.

10. Other

10.1. Disclaimer

To the extent permitted by law, Women in Film and Television Australia is not liable to you for any loss, damage, injury or any incidental, indirect, special, consequential or economic loss or damage (including loss of opportunity, exemplary or punitive damages) whether to person or property and whether arising from default, negligence, misconduct or otherwise by Women in Film and Television Australia, its employees, agents or contractors in connection with any Program.

10.2. Liability

To the maximum extent permitted by law, Women in Film and Television Australia:

(a) provides services “as is” and “as available”, with all faults and without warranty or conditions.

(b) makes no promises or assurances to you about WIFT AU or the Training Programs including, without limitation, that your use of the services will be uninterrupted or error free;

(c) offers no representations or warranties in relation to the accuracy or completeness of the information, advice or other training materials available on or via the Online Platform or a Training Program, and does not accept any liability in relation to your reliance on such information, advice or other training materials; and

(d) all other terms, conditions and warranties, whether express or implied by legislation or the common law or otherwise relating to the provision by Bus Employment or otherwise in connection with these Terms are expressly excluded.

10.3. Indemnity

You will at all times indemnify, and keep indemnified and hold harmless us and our directors, officers, employees, affiliates and agents from and against any, loss, damage, expense (including reasonable legal costs and expenses) or liability incurred or suffered by you or by us arising from any claim, demand, suit, action or proceeding by any person against you or us where such loss or liability arose out of, in connection with or in respect of:

(a) your conduct or breach of these Terms;

(b) your participation in any workplace opportunities;

(c) your conduct or breach against a third party;

(d) any breach of any law by you;

(e) any act or omission by you,

to the extent such loss or damage is not caused or contributed by us.

10.4. Release

You agree to release us and our directors, officers, employees, affiliates and agents from and against any, loss (including reasonable legal costs and expenses) or liability incurred or suffered by you or by us arising from any claim, demand, suit, action or proceeding by any person in connection with your participation in WIFT AU, a workplace opportunity or a Training Program by any person (to the extent such loss or damage is not caused or contributed by us).

(g) You agree to notify Women in Film and Television Australia of any changes to your contact details provided upon registration as soon as practically possible.

(h) A notice, consent or other communication is regarded as given and received:

(i) if it is delivered, when it has been left at the addressee's address;

(i) if it is sent by mail, three Business Days after it is posted;

(ii) if it is sent by fax, when the addressee actually receives it in full and in legible form; and

(A) if it is sent in electronic form when the addressee's email system logs the email message as having been received if it is transmitted by 5.00 pm (Sydney time) on a Business Day – on that Business Day; or

(B) if it is transmitted after 5.00 pm (Sydney time) on the Business Day, or on a day that is not a Business Day – on the next Business Day.

10.6. Relationship

This Agreement does not create a relationship of employment, agency, partnership or joint venture between the parties.

10.7. Severance

If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

10.8. No Waiver

Women in Film and Television Australia failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. The exercise by Women in Film and Television Australia of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise permitted under law.

10.9. Governing Law

(a) These Terms are governed by the laws in force in Australia.

(b) Each of the Parties irrevocably submits to and accepts the exclusive jurisdiction of any of the Courts of the State of New South Wales or the Commonwealth of Australia and any courts of appeal from these courts.

11. DEFINITIONS

Australian Consumer Law means Schedule 2 of the Competition And Consumer Act 2010 (Cth).

WIFT AU is member-based organisation that provides access to professional industry mentorship opportunities, learning modules and resources and access events.

Business Day means a day other than a Saturday, Sunday or public holiday in Australia.

Eligibility Criteria means the requirements set out within clause 2.2.

Fees means the costs associated with participating in any Service or Membership Fee as may be detailed on our Website from time to time.

Online Platform means web platform that allows you access to the WIFT AU services.

Member means an individual who has met the Eligibility Criteria for WIFT AU and been accepted by us in accordance with these Terms.

Membership Fee means an annual subscription fee payable to Women in Film and Television Australia upon becoming a Member.

Membership Guidelines means the behaviour direction provided at the time of completing your application to become a Member.

Materials has the meaning given to it in clause 6.1(a).

NDIS has the meaning given to it in clause 4.1(b).

Privacy Policy means the policy available at: https://www.wiftaustralia.org.au/

Screen industry practitioner refers to a person employed or engaged in the development, production, distribution, or exhibition of screen content

Serious Misconduct means any behaviour in breach of clause 5.1.

Service means the mentorship opportunities, learning modules and resources and events as provided by WIFT AU.

Transfer Credit has the meaning given to it in clause (a).
